THE SEPARATION OF DIRECTORS AND MANAGERS: A HISTORICAL EXAMINATION OF THE STATUS OF MANAGERS

Résumé

While management emerged as a distinctive function at the turn of the 20 th century, managers have no particular status in law compared to directors. This article examines how technological and innovation concerns motivated the rise of management; but shows that they have been largely overlooked by company law since 1945.
